I've found a 420 for sale locally that the owner says has a fresh rebuilt 2 cyl gas motor. I have a 440ic 2 cyl gas that has developed a knock. I'm going to rebuild it, but would love to have a fresh motor while I was doing it.
How compatible is this swap? What factors do I have to consider?

You will have to cut a hole in the hood to fill the oil, other than that, it is a direct bolt in not including manifold and some small parts.
